Incorporation And Registration Forms

Why does your business need to get organized? You might want a business entity to limit your liability, like a sub S corporation or an LLC. But even if you don't choose to create an entity, you will need to register an assumed business name to do business under anything but your own name. You will also need to report and pay taxes, and may need to get a license for your business.

 Checklist of filings required for different business types:

Sole Proprietor:

  • Must file Assumed Business Names forms with every county where company does business under any name except proprietor's own name.  Newspaper publication for three weeks required.
  • Should file for federal EIN with form SS-4 (must if have employees).
  • Must register for state income and applicable excise taxes with Illinois Department of Revenue.
  • Must register for unemployment insurance taxes with Illinois Department of Employment Security.
  • May need state license to do business, depending on line of business or profession.
  • May need general business license from county or municipal government, or other local registration

Limited Liability Company:

  • Must file Articles of Organization with Department of Business Services, Office of the Secretary of State.
  • Should have Operating Agreement to regulate capital contributions, management authority, agency authority, and buy-sell arrangements for member owners.
  • Must file for federal EIN with form SS-4.
  • Must register for state income and applicable excise taxes with the Illinois Department of Revenue.
  • Must register for unempolyment insurance taxes with the Illinois Department of Employment Security.
  • May need state license to do business, depending on line of business or profession.
  • May need general business license from county or municipal government.

Business Corporation

  • Must file Articles of Incorporation with Department of Business Services, Office of the Secretary of State. Corporations organized under laws of other states file Application for Authority To Transact Business.
  • Should have  internal governance documents to regulate capital contributions, management authority, agency authority, and buy-sell arrangements for member owners.
  • Must file for federal EIN with form SS-4.
  • May file Subchapter S election with Internal Revenue Service to avoid tax at entity level along with tax when distributions are made to owners, and may file other small business elections.
  • Must register for state income and applicable excise taxes with the Illinois Department of Revenue.
  • Must register for unemployment insurance taxes with the Illinois Department of Employment Security.
  • May need state license to do business, depending on line of business or profession.
  • May need general business license from county or municipal government.


Our Flat Fee To Prepare Your Organization And Registration Forms: $500, plus any state, local, newspaper, or expedited filing service costs your business type or deal requires. This pays for up to four hours of lawyer time, a 50% discount.

State licensing and complex business deals may require more time on task. We help you find out what will be needed, and help estimate lawyer time and other cost requirements for these more complex projects.
